anyone worked with VCs? Any stories to tell? I might have a few questions for ya.

yes i have. and no i cannot tell you the stories. why not just come to this private island i am writing from right now and i will tell you all about it. ;)
seriously though- i have worked with them, and been involved with the 'dealings' of them. the Page Mill Road ones only though.

when you are starting a business, in order for you get higher investment ratio to ownership ratio, it is better to start the business on yuor own and prove profitability.
most VC, if they think its a good idea will take the company at 60-90% of it, get additional funding and fire you.
best way. strat your own, get the ball rolling (if you dont invest your own money in to this business, why would someone else will), than get an angel investor.
after further growth, shop around for VCs

I'm looking for investors myself. Want to open up a chain of really well-designed convenience stores. There are none here. Not like the ones in NYC.

i got 2 guys who were my initial investors/partners and they put up a nice bit of money... now we are going after Big VC money... so I am trying to get the knowledge of the ins & outs of the industry... I have been to 2 VC Conferences in California in Nov. 2005, and we were somewhat a hit with the VCs we mingled with but we have not yet pitched to them or actively gone after them.
So i am trying to see what things the VCs will look for as far as our personl vestings in the company... my one partner says we will likely be getting money from a VC in cali, and that we should change our Virginia LLC to a CCorp right now even before we talk to any VCs...
just one of my many things i need to know.

i guess, the CCorp would be good depending, but i see no reason it should be a mandatory thing. it is completly relevant to your goals/situation, ect. aside from that, virginia and cali have very similar incorporation laws- i guess it would be a priority if that is one of the stipulations put forth by the interested VCs.

yea, but my partner is saying we MUST do a CCorp even though we do not know if VC money will come from Cali.. if it does, then doing a CCorp is no problem.
my partner is definitely the most experienced of the group and started his ouwn $17 mill software company in the late 90s.
But we feel he has been suggesting these things for selfish reasons and that he is trying to get leverage in the company... (he's suggested other things too)...
I agree, i wish i could have done this venture by myself, and if i were a programmer, maybe i could have... but... i went for the early money and now i gotta deal with consequences of having 2 partners.
